Federal sentencing Guidelines
Sarbanes-Oxley receives a lot of deserved attention these days, but are you aware of the impact of the new guidelines incorporated in the Federal Sentencing Guidelines with respect to ethics and compliance programs?  Did you also know that an organization, and it's officers, can be found criminally liable for the criminal acts of any employee who appears to be acting within the scope of their job, even if that criminal act is not authorized by anyone in the company! An expanded key mitigating factor is the existence of an effective compliance and ethics program.

What is an effective program? The first step, of course, is to establish standards and procedures specifically addressing your company's operation and ethical concerns or challenges.  Then, those ethical standards have to be effectively communicated to all employees.  Finally, and most importantly, your program must be audited, monitored, evaluated regularly to incorporate timely updates, and include non-retaliatory internal reporting systems

Canadian Securities Administrators Multilateral Instrument 52-110
Following closely on the heels of  Sarbanes-Oxley Section 301, the Canadian Multilateral Instrument 52-110 part 7 uses almost the same language to promote whistleblower protections and establishment of ethics and compliance communications programs.  Part 7 of the Multilateral Instrument 52-110 states:

An audit committee must establish procedures for:

1.        The receipt, retention and treatment of complaints received by the issuer regarding accounting, internal accounting controls, or auditing matters; and

2.        The confidential, anonymous submission by employees of the issuer of concerns regarding questionable accounting or auditing matters.
